{"id":176950,"date":"2020-02-10T20:25:00","date_gmt":"2020-02-11T01:25:00","guid":{"rendered":"https:\/\/www.panix.com\/~msaroff\/40years\/2020\/02\/10\/no-2\/"},"modified":"2020-02-10T20:25:00","modified_gmt":"2020-02-11T01:25:00","slug":"no-2","status":"publish","type":"post","link":"https:\/\/www.panix.com\/~msaroff\/40years\/2020\/02\/10\/no-2\/","title":{"rendered":"No."},"content":{"rendered":"<div>Someone at the <i>Seattle Times<\/i> observes that, &#8220;<a href=\"https:\/\/www.seattletimes.com\/business\/boeing-aerospace\/experts-question-whether-boeings-board-of-directors-is-capable-of-righting-the-company\/\">Experts question whether Boeing\u2019s board of directors is capable of righting the company<\/a>.&#8221;<\/div>\n<p>Of course they can&#8217;t.<\/p>\n<p>They were the ones who spent tens of billions of dollars on stock buybacks instead of investing in new aircraft as a part of a systematic plan to allow upper management to loot the company through stock options:<\/p>\n<blockquote><p><span style=\"color: blue;\">In December, when Boeing\u2019s board of directors fired CEO Dennis Muilenburg, some corporate governance experts and investment analysts wondered what took so long. <\/p>\n<p>\u2026\u2026\u2026 <\/p>\n<p>Investigations, lawsuits and news stories revealing festering internal problems had piled up. Muilenburg <a href=\"https:\/\/www.seattletimes.com\/business\/boeing-aerospace\/in-five-hour-grilling-over-737-max-crashes-house-panel-reveals-boeing-memos-and-calls-on-ceo-muilenburg-to-resign\/\">faced public grillings and calls for his resignation<\/a> during Congressional hearings. Revenues and stock <a href=\"https:\/\/www.seattletimes.com\/business\/boeing-aerospace\/boeing-doubles-the-projected-cost-of-the-737-max-grounding-to-18-4-billion\/\">values plummeted<\/a>. Worst of all, Boeing\u2019s once sterling reputation for quality and safety was badly tarnished. <\/p>\n<p>The prolonged hesitance <a href=\"https:\/\/www.seattletimes.com\/business\/boeing-aerospace\/boeing-ousts-ceo-dennis-muilenberg\/\">to fire Muilenberg<\/a> in the face of spiraling crises underscores concerns about the board\u2019s oversight of the company, even as it faced the most troubling period of its 103-year history. It also raises questions about the board\u2019s culpability in the tragedies and its ability to reestablish confidence in the company among regulators, Wall Street and the flying public. <\/p>\n<p>\u201cNine months is a long time \u2014 it\u2019s a forever in business for a crisis like this,\u201d said Charles Elson, a professor of finance and head of the John L. Weinberg Center for Corporate Governance at the University of Delaware. \u201cSo, the question is, where was the board during that time?
