{"id":194543,"date":"2008-09-15T18:44:00","date_gmt":"2008-09-15T23:44:00","guid":{"rendered":"https:\/\/www.panix.com\/~msaroff\/40years\/2008\/09\/15\/diving-deeper-in-the-financial-mess-lehman-and-bankruptcy-laws\/"},"modified":"2008-09-15T18:44:00","modified_gmt":"2008-09-15T23:44:00","slug":"diving-deeper-in-the-financial-mess-lehman-and-bankruptcy-laws","status":"publish","type":"post","link":"https:\/\/www.panix.com\/~msaroff\/40years\/2008\/09\/15\/diving-deeper-in-the-financial-mess-lehman-and-bankruptcy-laws\/","title":{"rendered":"Diving Deeper in the Financial Mess: Lehman and Bankruptcy Laws"},"content":{"rendered":"<p>Well, it appears that while Lehman technically filed for chapter 11 reorg, because of changes to the laws <a href=\"http:\/\/legalpad.blogs.fortune.cnn.com\/2008\/09\/15\/lehman-stress-test-for-bankruptcy-laws\/\">the effect is much closer to that of a Chapter 7 liquidation<\/a>, particularly with the 2005 changes to the bankruptcy laws.<\/p>\n<p>The bullet points:<\/p>\n<ul>\n<li>The holding company has filed for BK, but , its subsidiaries, &#8220;<span style=\"font-style: italic;\">its brokerage-dealer subsidiaries, asset management unit, and investment management division&#8221;, continue to function<\/span>.&#8221;<\/li>\n<li>Lehman will try to sell off the good bits.<\/li>\n<li>Under normal BK procedures, there is a stay on collecting debts, but, &#8220;<span style=\"font-style: italic;\">most financial contracts \u2014 including securities contracts, swaps, repurchase agreements, commodities contracts, and forward trades \u2014 are unaffected by automatic stays.<\/span>&#8220;<\/li>\n<li>By declaring bankruptcies, it means the creditors can <span style=\"font-weight: bold;\">file to collect immediately<\/span>.<\/li>\n<\/ul>\n<p>So have this problem:<\/p>\n<blockquote style=\"color: rgb(0, 0, 153);\"><p>Now comes the downside potential.
